Terms of Service

1. Acceptance of Terms

By accessing or using Craftlog (“the Platform”), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of an organization (gallery, foundry, studio, or institution), you represent that you have the authority to bind that organization to these terms.

2. Description of Service

Craftlog is a limited edition and original artwork registry, production tracking, and archival record platform. We provide tools for galleries to manage editions and original works, track production, generate certificates of authenticity, and deliver archival records to collectors. We also provide tools for foundries and studios to post production updates, and for collectors to access their artwork records.

3. Account Registration

• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized access to your account.
• One person or organization per account. Account sharing is not permitted.

4. Subscription Plans and Payment

• Free and paid subscription plans are available as described on our pricing page.
• Paid subscriptions are billed monthly or annually through Stripe.
• Prices may change with 30 days notice.
• You may cancel your subscription at any time; access continues until the end of the billing period.
• Refunds are not provided for partial billing periods.
• If payment fails, we will attempt to collect for 7 days before downgrading your account to the free tier.

5. Your Data and Content

• You retain all rights to the data and content you upload to Craftlog.
• You grant Craftlog a limited license to store, display, and transmit your content as necessary to provide the service.
• You are responsible for the accuracy of the information you enter.
• You may export all your data at any time using the platform’s export feature.
• Artwork images you upload may be displayed to collectors, foundries, and other authorized parties as part of the platform’s functionality.

6. Collector Data Responsibilities

• Galleries are responsible for the collector data they enter into the platform.
• Galleries must have appropriate consent to store and share collector information.
• Galleries must process collector data deletion requests within 30 days.
• Craftlog acts as a data processor on behalf of galleries for collector data.

7. Provenance Records

• Provenance records (ownership history, certificates, condition reports) are append-only by design.
• Once recorded, provenance events cannot be altered or deleted. This is a core feature of the platform, not a limitation.
• In cases of error, a correction event can be appended to the record.
• Disputed records can be flagged and frozen pending resolution.

8. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose.
• Upload content that infringes on intellectual property rights.
• Attempt to access another user’s account or data.
• Interfere with the platform’s operation or security.
• Use the platform to facilitate fraud, forgery, or misrepresentation of artwork authenticity.
• Scrape, crawl, or automatically extract data from the platform.
• Resell access to the platform without authorization.

9. Intellectual Property

• Craftlog owns all rights to the platform’s design, code, and branding.
• “Craftlog,” the Craftlog logo, and “Where art is recorded” are trademarks of Craftlog, Inc.
• You may not use our trademarks without written permission.
• Certificates generated by Craftlog include the Craftlog verification seal; galleries using the white-label feature may replace Craftlog branding with their own.

10. Limitation of Liability

• Craftlog provides the platform “as is” without warranties of any kind.
• We are not responsible for the accuracy of artwork information entered by users.
• We are not responsible for the authenticity of artworks registered on the platform.
• Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim.
• We are not liable for indirect, incidental, or consequential damages.

11. Indemnification

You agree to indemnify and hold harmless Craftlog, its officers, directors, and employees from any claims arising from your use of the platform, your violation of these terms, or your violation of any rights of a third party.

12. Service Availability

• We aim for 99.9% uptime but do not guarantee uninterrupted service.
• Scheduled maintenance will be communicated in advance when possible.
• We reserve the right to modify or discontinue features with reasonable notice.

13. Termination

• You may close your account at any time.
• We may terminate accounts that violate these terms.
• Upon termination, you may export your data for 30 days.
• After 30 days, your data will be deleted except for provenance records which may be anonymized and retained.

14. Governing Law

These terms are governed by the laws of the State of Nebraska. Any disputes will be resolved in the state or federal courts located in Douglas County, Nebraska.

15. Changes to Terms

• We may update these terms from time to time.
• Material changes will be communicated via email to registered users.
• Continued use after changes constitutes acceptance.
